​UNITED KINGDOM: CVC DIF folds Aura’s UK solar and battery platform into Verdant portfolio

CVC DIF has moved to combine the UK development platform of Aura Power with its existing Verdant Energy renewables business, following a series of ownership transfers, refinancing transactions and corporate reorganisations completed in July 2026, it is understood.

Company filings show that control of Aura Power Operations Ltd transferred from Aura Power Developments Ltd – trading as Aura Power – to CVC DIF-controlled Fusion UK Finco Ltd on July 21 2026.

The ownership change was accompanied by the transfer into Aura Power Operations Ltd of the shares in Aura Power Solar UK Ltd and Aura Power BESS Ltd, two holding companies that sit above Aura’s UK solar and battery development portfolios.

The move appears to reveal that CVC DIF has acquired control of a substantial part of Aura’s UK renewable energy development business.

The most recent accounts filed by Aura Power Solar UK Ltd show the company sat above at least 19 solar development subsidiaries at the end of 2024.

The portfolio included the 30 MW Copper Bottom, the 49.9 MW Horton, 49.9 MW Hawthorn Pit, 49.9 MW Moreton Brook, 49.9 MW Grimsby and numerous other project companies focused on the development and operation of ground-mounted solar projects in the UK.

Separate accounts for Aura Power BESS Ltd show ownership of at least 21 battery energy storage development vehicles, including the 99 MW Capenhurst, among others.

Several of these SPVs have themselves since been ultimately rolled into the control of Aura Power Operations Ltd.

Taken together, the two portfolio companies controlled around 40 identified solar and battery development subsidiaries as of December 2024, although some SPVs have since been dissolved.

The restructuring follows the satisfaction of a series of financing arrangements across the Aura group during July 2026.

Filings show that charges granted by Aura Power Solar UK Ltd and Aura Power BESS Ltd in favour of Novuna were discharged in full during July 2026.

Those facilities had been secured against shares in individual solar and battery project companies, and were intended to provide development capital.

The discharge of those facilities came shortly after the release of security arrangements elsewhere in the Aura structure, including financing packages involving intermediate holding companies such as Aura Power Phoenix Ltd and Aura Power Fawkes Ltd.

The timing suggests the group’s existing financing arrangements were unwound ahead of the transfer of ownership into the new Fusion structure.

The transaction also appears to bring Aura’s UK development platform together with the Verdant business owned by CVC DIF.

A financing package established under the internal name “Project Fusion” links Aura Power Operations Ltd and Verdant Holdco Ltd within the same security perimeter.

Verdant Holdco Ltd is understood to sit above the UK co-located solar and battery portfolio acquired by DIF Capital Partners, now CVC DIF, from Cero Generation and Enso Energy in 2023.

That portfolio comprised seven co-located solar and battery projects with total planned capacity of 720 MW, including 380 MW of solar generation and 340 MW of battery storage.

While the exact scope of assets ultimately included in the reorganisation has not been publicly disclosed, filings indicate that the transaction encompasses the principal Aura UK solar and battery holding companies and a large portfolio of development-stage renewable energy projects, alongside several assets held by Verdant.

The combination would create one of the larger privately held UK renewable energy development platforms spanning utility-scale solar generation and battery storage.

Aura Power declined to comment while CVC DIF was also approached.
